EXPERIENCE:
Dan works with local, regional, and national companies on a variety of business transactions. His areas of expertise are corporate law, energy law, mergers and acquisitions, business law, corporate law, contracts, project development, and real estate.
Dan’s corporate practice includes both business entity formation and general corporate representation. Dan works with clients to structure and organize various forms of for-profit entities. He works with business owners on stock transfer issues, business succession planning, and related formational issues. Dan also counsels a number of local non-profit organizations on a pro bono basis.
Dan serves as outside counsel to a number of local and regional companies. He consults with boards of directors and management on issues of corporate governance and a wide range of business matters. Dan is experienced in drafting, reviewing, and negotiating contracts on behalf of his corporate clients, including complex products and services agreements, development contracts, debt instruments, and a variety of other agreements.
Dan has an active mergers and acquisitions practice, representing both sellers and buyers in structuring, negotiating, documenting, and closing various forms of transactions, including asset sales, stock transfers, statutory mergers, and tax-free reorganizations. These transactions have ranged in size and scope from the transfer of small family-owned businesses to multi-million dollar national concerns.
In addition to his work for clients, Dan also serves in leadership roles within the firm and the community. He is past chair of the law firm’s Business Organizations and Transactions Practice Group. Dan is a member of the School Board of Sioux Falls Christian Schools, and has served as President of that Board for five years.
Dan and his wife, Terri, have three children. Dan enjoys athletics of all kinds, particularly hiking and biking. Dan is an avid reader. Dan and his family enjoy traveling and spending time outdoors.
